Welcome to the VSP Canada Vision ("Company") website ("Site"). PLEASE READ THE FOLLOWING TERMS AND CONDITIONS OF USE RELATING TO YOUR USE OF THE SITE CAREFULLY. Your use of the Site constitutes your agreement to follow and be bound by these Terms and Conditions of Use (the "Terms and Conditions"). If you are under the age of majority in the province or territory in which you reside, do not continue to use the Site. The Site may only be used by residents of Canada.

1. ACCEPTABLE USE Policy

Any illegal or unauthorised use of the Site shall constitute a violation of these Terms and Conditions. You do not have permission to access the Site in any way that violates these Terms and Conditions. Illegal or unauthorised use of the Site includes, but is not limited to, unauthorised framing of or linking to the Site, or unauthorised use of any robot, spider or other automated process on the Site. It shall also be a violation of these Terms of Use for any individual (or employer of individuals acting in concert) to request more than 100 pages of the Site in any twenty-four hour period (hereafter referred to as "Abusive Use"). In addition, the following acts also constitute Abusive Use of the Site:

  • Use the Site in a manner that presents a security risk or that may interfere with the operation of the Site.
  • Use the Site to gain illegal or unauthorized access to other computers or networks through hacking or any other means.
  • Use the Site in violation of any applicable law or regulation governing Company's business or activities or those of any of its affiliates.
  • Use the Site in a manner that infringes or misappropriates another's intellectual property rights including, but not limited to: copyright, patent, trade-mark, service marks, trade names, trade secrets, moral rights or other intellectual property rights, or rights of publicity or personality.
  • Use the Site to engage in libel, defamation, harassment, misappropriation or disclosure of trade secrets, intentional misrepresentation or fraud, or wrongful publication of private or personal information.
  • Use of the Site to post or transmit any unlawful, threatening, libelous, defamatory, obscene, inflammatory, pornographic, or profane material, hate speech, or any other material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any applicable law or generally acceptable conduct.
  • Use of the Site to interfere with any other person or entity's use of, or access to, the Site.

By using this Site and/or accepting the Terms of Service, the recipient understands and agrees that the information contained in the VSP Preferred Provider list is protected proprietary information intended only for use in connection with the administration of the Company vision care plan. The disclosure, publication, dissemination, distribution, copying and/or misuse of the list or other content on this Site for any purpose other than the normal and necessary implementation of the Company vision care plan is strictly prohibited.

The names VSP Canada Vision Care Insurance, VSP Vision Canada, and VSP and their registered logo(s), service mark(s), and trademark(s) may not be reproduced or used in any way, including for advertising or publicity purposes without the prior explicit written permission of the Company. VISION SERVICE PLAN® and VSP® are registered trademarks of Vision Service Plan, used under license by the Company.

4. PERSONAL INFORMATION

All information, including personally identifiable information that you provide while accessing or using the Site, is subject to the Company's Privacy Policy. The Privacy Policy is hereby incorporated into and forms part of the Terms and Conditions. By accessing and using the Site you agree to the use and disclosure of the information you submit on the Site as outlined in the Privacy Policy.

Links to documents outside of this Site are provided as a convenience and do not necessarily reflect the views or opinions of the Company or of its staff or management. Links to such documents do not in any way suggest the Company's endorsement of any product or service specified therein. 9. CONFIDENTIALITY AND SECURITY ON VSP-CANADA.CA

The Company respects the privacy of its Web Site users. We do not collect personal information about you if you simply visit the Site.

The Company members who enter personal information through the Web Site should know all communications and transmissions between their computer and the Company's Web servers are encrypted using secured socket layer (SSL) technology. The Company's security software is the industry standard and among the best software available today for secure transactions. However, the internet is not a secure medium where privacy and security can be guaranteed and complete security and confidentiality of transmissions to and from this Site over the internet is not possible at this time. Your confidential use of this Site cannot be guaranteed and you acknowledge that your use of this Site, including information you transmit to this Site, may be accessed, manipulated by or disclosed to third parties. The Company shall not be responsible or liable for any damages that you or any other person may suffer in connection with any breach of privacy, confidentiality or security.

10. USE OF E-MAIL SUBSCRIPTION INFORMATION

E-mail subscription information that the Company collects may be used to personalise content of the e-mails you receive from the Company. As a subscriber, you may receive information from the Company, including the Company promotions, plan, benefit or educational information and/or surveys. We will not sell or use the information outside of VSP's family of companies. We may provide general reports on e-mail subscription usage but we will not share e-mail addresses or any personal information that allows for identification of individuals. You may revoke your authorization at any time, in order to stop receiving further e-mail information.

11. THE USE OF COOKIES

The Company collects anonymous, non-personal information about users of VSP-CANADA.CA through temporary cookies. Cookies are small, alphanumeric identifiers that are transferred to a computer's hard drive through the user's Web browser, which enables the Company's systems to recognize the browser and provide personalised features such as a member's benefit information and providers who participate in a member's plan.

Most browsers can be set to reject all cookies. The Help portion of the toolbar on most browsers will tell a user how to prevent the browser from accepting new cookies, provide notification if new cookies are received, or disable cookies altogether.

12. SIGNING ON TO VSP-CANADA.CA

Users may choose to sign on to VSP-CANADA.CA by registering with a user name and password of their choice. If the user opts to sign on to VSP-CANADA.CA, the user will be able to take advantage of the following member-specific capabilities: (a) finding a provider who participates in their specific plan; (b) viewing their personal eligibility and coverage information; (c) viewing benefit information regarding the user's dependents; and, (d) viewing information regarding the user's ability to file a claim for services received from a non-Company provider under the user's specific plan. If the user opts not to sign on to VSP-CANADA.CA, the user will not be able to able to utilize any of the member-specific capabilities mentioned in this paragraph.

13. PROTECT YOUR PASSWORD

Those who register on the Site are responsible for safeguarding their own password, including, but not limited to, the responsibility to not improperly disclose or allow the disclosure of their password to unauthorised persons. Do not share or write your password down. If you suspect that your password has been compromised, please contact us.

14. RESPONSE TIME

The Company responds to e-mails, electronic messages, and other communications transmitted via the Site as soon as reasonably practical. The Company's response time shall not exceed any maximum time period that may be specified by law.

15. ACCESS AND INTERFERENCE

You agree that you will not use any robot, spider or other automatic device, process or means to access the Site. Nor shall you use any manual process to monitor or copy our web pages or the content contained thereon or for any other unauthorised purpose without our prior express written permission. You agree that you will not use any device, software or routine that interferes with the proper working of the Site nor shall you attempt to interfere with the proper working of the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on our infrastructure. You agree that you will not copy, reproduce, alter, modify, create derivative works, or publicly display any content (except for your own personal, non-commercial use) from the Site without the prior express written permission of the Company.

16. SUSPECTED VIOLATION OF THESE TERMS OF SERVICE OR LAW; INJUNCTIVE, EQUITABLE RELIEF, AND LIQUIDATED DAMAGES

Violations of these Terms and Conditions, including unauthorised or Abusive Use (as described above) of the Site, may be investigated and appropriate legal action may be taken, including without limitation seeking civil, criminal, and injunctive relief. You understand and agree that in The Company's sole discretion, and without prior notice, The Company may terminate your access to the Site, remove any unauthorised User Content or exercise any other remedy available if the Company believes that your conduct or the conduct of any person with whom the Company believes you act in concert, or the User Content you provide, violates or is inconsistent with these Terms and Conditions or the law, constitutes Abusive Use, or violates the rights of the Company or another user of the Site. You acknowledge and agree that monetary damages may not provide a sufficient remedy to the Company for violations of these Terms and Conditions and you consent to injunctive or other equitable relief for such violations.

You agree that Abusive Use of the Site, as defined above, causes damage and harm to the Company in the form of, among other things, impaired goodwill and increased expenses associated with responding to Abusive Use of the Site. You further agree that monetary damages for Abusive Use of the Site are difficult to ascertain and that proof of monetary damages for Abusive Use would be costly and inconvenient to calculate. Accordingly you agree that liquidated damages are warranted for Abusive Use. You also acknowledge and agree that if you, or others acting in concert with you, alone or collectively request more than 100 pages of the Site in any twenty-four hour period, you, and those acting in concert with you, may be held jointly and severally liable for liquidated damages.

17. WEBSITE OWNERSHIP

This Web site is owned by VSP Canada Vision Care Insurance (the Company).

18. SEVERABILITY

If any provision of the Terms and Conditions shall be found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the Terms and Conditions and shall not affect the validity and enforceability of any remaining provisions.

19. NO WAIVER

A failure on the part of the Company or its affiliates to enforce any part of the Terms and Conditions shall not constitute a waiver of any of the Company's or its affiliates' rights under the Terms and Conditions, whether for past or future actions on the part of any person. Only a specific written waiver signed by an authorized representative of the Company or its affiliates, as applicable, shall have legal effect.

20. SITE UPDATES AND CHANGES TO TERMS OF SERVICE

The Company may change, move, or delete portions of, or may add to, the Site from time to time and without prior notice. From time to time there may be information on the Site that contains typographical errors, inaccuracies, or omissions. The Company may correct errors, inaccuracies, or omissions and change or update, the Site or any related software in whole or in part, at any time without notice.

These Terms and Conditions are subject to change without notice to you, so we recommend that you review them regularly. If any changes are made to these Terms and Conditions, such changes will be promptly reflected in the terms set forth online. By using the Site, you acknowledge that you have read and understand the Terms and Conditions as amended from time to time.
